PART A – INTRODUCTION

1. These Terms & Conditions

1.1       These Project Xperience Platform Terms & Conditions (“Terms & Conditions”) govern your access to and use of the Project Xperience Platform, including your registration for an account, browsing of Experiences, participation in auctions, purchase of Experiences, and use of any products, services, features or functionality made available by Project Xperience from time to time.

1.2       The Project Xperience Platform is owned and operated by Xperience Creation Pte. Ltd., a company incorporated in Singapore (UEN: 202106049Z), trading under the brand name Project Xperience.

1.3       By accessing or using the Project Xperience Platform, creating an account, participating in an auction, purchasing an Experience, or otherwise using any part of the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, you must not access or use the Project Xperience Platform.

1.4       These Terms & Conditions apply to all visitors, registered users, bidders, purchasers and any other persons who access or use the Project Xperience Platform, unless expressly stated otherwise.

1.5       Depending on the nature of your use of the Project Xperience Platform, additional policies, terms or guidelines may also apply. These include, where applicable:

(a) Privacy Policy;

(b) Experience Policy;

(c) Auction Terms & Conditions;

(d) Auction Rules; and

(e) any other policies, guidelines or notices published by Project Xperience on the Project Xperience Platform from time to time.

Where applicable, these documents form part of the contractual framework governing your use of the Project Xperience Platform.

1.6       Where there is any inconsistency between these Terms & Conditions and another Project Xperience policy or document, the following order of precedence applies to the extent of that inconsistency:

(a) these Terms & Conditions, except where a more specific document listed below expressly governs the relevant subject matter;

(b) the Auction Terms & Conditions, for matters relating to Auctions;

(c) the Experience Policy, for matters relating to Experiences;

(d) the Privacy Policy, for matters relating to the collection, use, disclosure, storage, retention and protection of Personal Data; and

(e) the Auction Rules, which supplement the Auction Terms & Conditions by setting out operational bidding procedures and do not override the Auction Terms & Conditions.

1.7       Nothing in these Terms & Conditions limits or excludes any rights or remedies that cannot lawfully be excluded or limited under applicable law.


 

2. Definitions and Interpretation

2.1       Definitions

In these Terms & Conditions, unless the context otherwise requires:

Account means a registered user account created to access or use the Project Xperience Platform.

Auction means an online auction conducted through the Project Xperience Platform for an Experience offered by Project Xperience.

Auction Rules means the Project Xperience Auction Rules published on the Project Xperience Platform, as amended from time to time.

Auction Terms & Conditions means the Project Xperience Auction Terms & Conditions governing participation in Auctions, as amended from time to time.

Booking means a confirmed reservation for an Experience following successful payment and acceptance by Project Xperience.

Business Day means any day other than a Saturday, Sunday or public holiday in Singapore.

Collaborator means any individual, organisation, brand, venue, performer, presenter, host, supplier or other third party engaged by Project Xperience to perform, facilitate or support an Experience.

Content means any text, photographs, graphics, images, videos, audio, software, code, trademarks, logos, designs, documents or other material made available on or through the Project Xperience Platform.

Experience means an activity, event, programme, service or other offering curated, organised, marketed or made available by Project Xperience through the Project Xperience Platform, whether sold at a fixed price or through an Auction.

Experience Policy means the Project Xperience Experience Policy published on the Project Xperience Platform, as amended from time to time.

Gift Nomination means a request by a Purchaser for one or more individuals to participate in an Experience as a genuine gift, subject to Project Xperience’s prior approval and any applicable eligibility, verification or other requirements.

Order means a purchase, booking, Auction participation, winning bid payment or other transaction placed through the Project Xperience Platform.

Participant means an individual approved by Project Xperience to attend or participate in an Experience, whether as the Purchaser or as another person nominated and approved by Project Xperience in accordance with these Terms & Conditions.

Payment Provider means a third-party payment service provider authorised by Project Xperience to process payments made through or in connection with the Project Xperience Platform.

Personal Data has the meaning given under Singapore’s Personal Data Protection Act 2012 (PDPA), as amended from time to time.

Platform or Project Xperience Platform means the website, web application and any related digital services owned or operated by Project Xperience through which Experiences are promoted, offered or sold.

Privacy Policy means the Project Xperience Privacy Policy published on the Project Xperience Platform, as amended from time to time.

Project Xperience, “we”, “our” or “us” means Xperience Creation Pte. Ltd. (UEN: 202106049Z), trading under the brand name Project Xperience.

Purchaser means the User who enters into a contract with Project Xperience to purchase or book an Experience, participate in an Auction or make any payment through the Project Xperience Platform.

Services means all products, services, Experiences, Auctions, features and functionality made available by Project Xperience through the Project Xperience Platform.

Terms & Conditions means these Project Xperience Platform Terms & Conditions, as amended from time to time.

Transaction Confirmation means a written confirmation issued by Project Xperience confirming a Booking, Auction participation, winning bid, purchase or other transaction, including a Booking Confirmation, Auction Participation Confirmation, Order Confirmation, Winning Bid Confirmation or any other confirmation that Project Xperience determines is appropriate for the relevant transaction.

User, “you” or “your” means any individual who accesses or uses the Project Xperience Platform, whether as a visitor, registered account holder, bidder or purchaser.

2.2       Interpretation

Unless the context otherwise requires:

(a) headings are included for convenience only and do not affect interpretation;

(b) words importing the singular include the plural and vice versa;

(c) references to a person include an individual, company, partnership, association, government authority or other legal entity;

(d) references to legislation include any amendment, replacement or re-enactment of that legislation;

(e) the words “including”, “include” and similar expressions are to be interpreted as “including without limitation”;

(f) a reference to a document or policy includes any amendment or replacement of that document or policy published by Project Xperience from time to time; and

(g) a reference to writing or written includes electronic communications unless expressly stated otherwise.


 

3. About Project Xperience and Our Services

3.1       The Project Xperience Platform is owned and operated by Xperience Creation Pte. Ltd. (UEN: 202106049Z), a private company limited by shares incorporated in Singapore and trading under the brand name Project Xperience (“Project Xperience”).

3.2       Project Xperience operates an online platform through which users may discover, purchase and participate in curated Experiences, including Experiences offered at fixed prices and through online Auctions, together with any related products, services, features or functionality that Project Xperience may make available from time to time.

3.3       Project Xperience curates, markets, offers and sells Experiences under its own brand. While Experiences may be performed, facilitated or supported by one or more Collaborators engaged by Project Xperience, your contractual relationship in respect of your use of the Project Xperience Platform and your purchase, booking or participation in an Experience is with Project Xperience, unless expressly stated otherwise.

3.4       Project Xperience may engage Collaborators, including individuals, organisations, brands, venues, performers, presenters, hosts, suppliers and other third parties, to perform, facilitate or support an Experience. Unless expressly stated otherwise, no Collaborator is a party to these Terms & Conditions or separately contracts with you in relation to your use of the Project Xperience Platform.

3.5       If you have any questions regarding the Project Xperience Platform, an Experience, your Account, these Terms & Conditions or any other policy published by Project Xperience, you may contact us using the contact details published on the Project Xperience Platform or by any other communication channels that we make available from time to time.

3.6       Where these Terms & Conditions refer to communications being provided “in writing” or “written”, this includes communications sent by email, in-app notifications or other electronic means made available through the Project Xperience Platform, unless the context requires otherwise.


 

4. Relationship Between These Terms and Other Policies

4.1       These Terms & Conditions form the principal agreement governing your access to and use of the Project Xperience Platform. Depending on your activities on the Project Xperience Platform, additional policies, terms and guidelines published by Project Xperience may also apply.

4.2       The following documents, as amended from time to time, form part of the legal framework governing the Project Xperience Platform where applicable:

(a) the Privacy Policy;

(b) the Experience Policy;

(c) the Auction Terms & Conditions;

(d) the Auction Rules; and

(e) any other policies, notices or guidelines published by Project Xperience from time to time.

4.3       The Privacy Policy explains how Project Xperience collects, uses, discloses, stores, retains and otherwise processes Personal Data in connection with the Project Xperience Platform.

4.4       The Experience Policy applies to all Experiences offered through the Project Xperience Platform and sets out additional terms relating to bookings, attendance, participant responsibilities, cancellations, postponements, refunds and other Experience-related matters.

4.5       The Auction Terms & Conditions apply to all Auctions conducted through the Project Xperience Platform and set out the contractual rights and obligations relating to Auction participation, bidding, deposits, payments, winning bids and other Auction-related matters.

4.6       The Auction Rules supplement the Auction Terms & Conditions by describing the operational procedures governing Auctions, including bidding procedures, bid increments, anti-sniping measures, Auction extensions and other operational requirements.

4.7       Where a particular policy applies to your use of the Project Xperience Platform or a specific transaction, you agree to comply with that policy in addition to these Terms & Conditions.

4.8       Where there is any inconsistency between these Terms & Conditions and another Project Xperience policy or document, the following order of precedence applies to the extent of that inconsistency:

(a) these Terms & Conditions, except where a more specific document listed below expressly governs the relevant subject matter;

(b) the Auction Terms & Conditions, for matters relating to Auctions;

(c) the Experience Policy, for matters relating to Experiences;

(d) the Privacy Policy, for matters relating to the collection, use, disclosure, storage, retention and protection of Personal Data; and

(e) the Auction Rules, which supplement the Auction Terms & Conditions by setting out operational bidding procedures and do not override the Auction Terms & Conditions.

4.9       Project Xperience may introduce additional policies, guidelines or notices from time to time where reasonably necessary for the operation, security or improvement of the Project Xperience Platform. Where such documents apply to your use of the Project Xperience Platform, Project Xperience will make them available through the Project Xperience Platform or otherwise notify you as appropriate.


 

PART B – ELIGIBILITY, ACCOUNTS AND USE OF THE PLATFORM

5. Eligibility

5.1       You may access and browse certain publicly available areas of the Project Xperience Platform without creating an Account. However, you must create an Account to purchase an Experience, participate in an Auction or access any features that require user registration.

5.2       To register for an Account or use any services requiring registration, you must:

(a) be at least 18 years of age;

(b) have the legal capacity to enter into a legally binding contract under the laws applicable to you;

(c) provide accurate, complete and current information when requested by Project Xperience; and

(d) comply with these Terms & Conditions and all applicable laws and regulations.

5.3       By creating an Account or using the Project Xperience Platform, you represent and warrant that you satisfy the eligibility requirements set out in this Clause.

5.4       Project Xperience may refuse, suspend or terminate your Account or restrict your access to the Project Xperience Platform if:

(a) you do not satisfy the eligibility requirements;

(b) any information provided by you is false, misleading, inaccurate or incomplete;

(c) Project Xperience reasonably believes that your use of the Project Xperience Platform may breach these Terms & Conditions or any applicable law; or

(d) Project Xperience is required to do so by law or by a competent regulatory or governmental authority.

5.5       Certain Experiences may be subject to additional eligibility requirements, including minimum or maximum age, health, medical fitness, physical ability, licensing requirements, residency, citizenship or any other criteria specified by Project Xperience or required by law. You are solely responsible for ensuring that you satisfy all eligibility requirements applicable to an Experience before making a Booking or participating in an Auction.

5.6       Where an Experience permits additional participants or guests, you are responsible for ensuring that each participant satisfies any applicable eligibility requirements communicated by Project Xperience.

5.7       Project Xperience may require you to provide additional information or documentation to verify your eligibility before allowing you to participate in certain Experiences, Auctions or other activities available through the Project Xperience Platform.


 

6. User Accounts

6.1       To access certain features of the Project Xperience Platform, including purchasing Experiences, participating in Auctions and managing Bookings, you must register for an Account.

6.2       When registering for an Account, you agree to provide information that is accurate, complete and current. You must promptly update your Account information if any information becomes inaccurate or changes.

6.3       Each individual may register and maintain only one (1) Account, unless Project Xperience expressly authorises otherwise in writing. You must not create multiple Accounts to circumvent these Terms & Conditions, participate unfairly in Auctions, obtain promotional benefits or for any other improper purpose.

6.4       Your Account is personal to you. You must not:

(a) sell;

(b) transfer;

(c) assign;

(d) licence;

(e) lend;

(f) share; or

(g) otherwise permit another person to use,

your Account without the prior written consent of Project Xperience.

6.5       You are responsible for ensuring that all information associated with your Account remains accurate and up to date, including your:

(a) name;

(b) email address;

(c) contact details; and

(d) any other information requested by Project Xperience.

6.6       Project Xperience may require you to provide additional information from time to time where reasonably necessary to:

(a) verify your identity;

(b) protect the security or integrity of the Project Xperience Platform;

(c) comply with applicable laws;

(d) prevent fraud; or

(e) investigate suspected misuse of the Project Xperience Platform.

6.7       You acknowledge that Project Xperience may refuse to create an Account, suspend an Account, restrict access to an Account or permanently close an Account in accordance with these Terms & Conditions where Project Xperience reasonably considers it necessary to protect the Project Xperience Platform, its Users, its Collaborators or its legitimate business interests.

6.8       You must not create or use an Account on behalf of another individual unless you are legally authorised to do so and Project Xperience has expressly permitted such use.

6.9       An Account remains the property of Project Xperience. Registration of an Account grants you a limited, revocable, non-transferable and non-exclusive right to access and use the Project Xperience Platform in accordance with these Terms & Conditions. It does not confer upon you any ownership rights in the Account or the Project Xperience Platform.


 

7. Account Access and Verification

7.1       Certain areas and features of the Project Xperience Platform are publicly accessible without creating an Account. However, access to restricted features, including purchasing Experiences, participating in Auctions, managing Orders and accessing user-specific services, requires a registered and verified Account.

7.2       Following registration, you must verify your email address using the verification process provided by Project Xperience before you may access restricted areas of the Project Xperience Platform or use features requiring a verified Account.

7.3       Until your email address has been successfully verified, Project Xperience may restrict or suspend access to some or all features of the Project Xperience Platform.

7.4       You are responsible for ensuring that the email address associated with your Account remains valid, accurate and accessible to you. If you are unable to access your registered email address, you may be unable to receive important communications relating to your Account, Orders, Bookings, Auctions or security notifications.

7.5       Project Xperience may, in its discretion, require additional verification of your identity, eligibility or authority before permitting you to:

(a) access certain features of the Project Xperience Platform;

(b) participate in particular Experiences or Auctions;

(c) complete certain transactions;

(d) update important Account information; or

(e) perform any other activity that Project Xperience reasonably considers requires additional verification.

7.6       Where Project Xperience requests additional verification, you agree to provide accurate and complete information within the time reasonably specified by Project Xperience. Failure to do so may result in delayed processing, suspension of access to relevant features, cancellation of a transaction where permitted by law, or other reasonable measures necessary to protect the Project Xperience Platform.

7.7       Project Xperience may refuse, suspend or restrict access to the Project Xperience Platform where:

(a) verification cannot reasonably be completed;

(b) information provided appears inaccurate, misleading or fraudulent;

(c) Project Xperience reasonably suspects unauthorised access, fraud, identity theft or other unlawful activity;

(d) verification is required to comply with applicable law or a lawful request by a regulatory or governmental authority; or

(e) such action is reasonably necessary to protect the security, integrity or reputation of the Project Xperience Platform or its Users.

7.8       Successful verification of your Account or identity does not guarantee approval to participate in every Experience or Auction. Additional eligibility requirements may apply depending on the nature of the relevant Experience or Auction.


 

8. Account Security

8.1       You are responsible for maintaining the confidentiality and security of your Account credentials, including your password, and for all activities carried out through your Account unless you have notified Project Xperience of unauthorised access in accordance with these Terms & Conditions.

8.2       You must:

(a) choose a strong and secure password;

(b) keep your password confidential;

(c) not disclose your password to any other person;

(d) not allow another person to access or use your Account; and

(e) take reasonable steps to protect your Account against unauthorised access or misuse.

8.3       You must notify Project Xperience as soon as reasonably practicable if you become aware of or reasonably suspect:

(a) unauthorised access to your Account;

(b) unauthorised use of your password;

(c) loss or compromise of your Account credentials; or

(d) any other actual or suspected security incident affecting your Account.

8.4       Project Xperience may, in its discretion and where reasonably necessary to protect the security, integrity or proper operation of the Project Xperience Platform or its Users:

(a) require you to re-authenticate your Account;

(b) invalidate or terminate one or more active login sessions;

(c) temporarily suspend access to your Account;

(d) require you to reset your password;

(e) restrict access to certain Platform features; or

(f) take any other reasonable security measures.

8.5       To protect the security of your Account and the Project Xperience Platform, active login sessions may be invalidated or terminated where reasonably necessary, including where:

(a) you log out of your Account;

(b) you successfully change your password;

(c) your Account is suspended or terminated;

(d) Project Xperience reasonably suspects unauthorised access or fraudulent activity; or

(e) Project Xperience considers such action reasonably necessary to protect the security or integrity of the Project Xperience Platform.

8.6       You acknowledge that, following termination or invalidation of an active login session, you may be required to log in again before continuing to access the Project Xperience Platform.

8.7       Project Xperience is not responsible for any loss arising from your failure to maintain the confidentiality or security of your Account credentials, except to the extent that such loss results from Project Xperience’s negligence, wilful misconduct or any liability that cannot lawfully be excluded or limited.

8.8       Nothing in this Clause limits Project Xperience’s right to suspend, restrict or terminate an Account where reasonably necessary to protect the Project Xperience Platform, its Users, its Collaborators or to comply with applicable law.


 

9. Acceptable Use of the Project Xperience Platform

9.1       You must use the Project Xperience Platform only for lawful purposes and in accordance with these Terms & Conditions, all applicable laws and regulations, and any policies published by Project Xperience from time to time.

9.2       You must not use the Project Xperience Platform in any manner that may:

(a) breach any applicable law or regulation;

(b) infringe the rights of any person;

(c) interfere with the operation, security or integrity of the Project Xperience Platform;

(d) compromise the safety, fairness or integrity of any Experience or Auction; or

(e) damage the reputation or legitimate business interests of Project Xperience or its Collaborators.

9.3       Without limiting Clause 9.2, you must not:

(a) create or use multiple Accounts in breach of these Terms & Conditions;

(b) impersonate another person or falsely represent your identity;

(c) provide false, misleading or fraudulent information;

(d) interfere with, manipulate or attempt to manipulate any Auction;

(e) circumvent any security feature, verification process or technical restriction implemented by Project Xperience;

(f) access or attempt to access any part of the Project Xperience Platform without authorisation;

(g) upload, transmit or distribute any malicious software, viruses or harmful code;

(h) use automated software, bots, scripts, crawlers or similar technologies to access, monitor or interact with the Project Xperience Platform without Project Xperience’s prior written approval;

(i) copy, scrape, reproduce, harvest or extract Content or data from the Project Xperience Platform except as permitted by law or expressly authorised by Project Xperience;

(j) use the Project Xperience Platform for fraudulent, deceptive or unlawful purposes;

(k) engage in money laundering, terrorist financing, sanctions evasion or any other prohibited financial activity;

(l) attempt to interfere with another User’s Account or use of the Project Xperience Platform;

(m) misuse any promotion, incentive or promotional programme offered by Project Xperience; or

(n) encourage, assist or facilitate another person to engage in any conduct prohibited by these Terms & Conditions.

9.4       You must not use the Project Xperience Platform for any commercial purpose unless expressly authorised in writing by Project Xperience.

9.5       Where Project Xperience reasonably believes that your conduct may breach these Terms & Conditions or otherwise compromise the security, integrity or proper operation of the Project Xperience Platform, Project Xperience may, in its discretion and without limiting any other rights available to it:

(a) issue a warning;

(b) remove or restrict access to relevant Content;

(c) suspend or terminate your Account;

(d) cancel or refuse a Booking, Order or Auction participation where appropriate;

(e) restrict access to all or part of the Project Xperience Platform; or

(f) take any other reasonable action necessary to protect the Project Xperience Platform, its Users, its Collaborators or the public.

9.6       You remain responsible for all activity carried out through your Account unless you have notified Project Xperience of unauthorised access in accordance with these Terms & Conditions.


 

PART C – EXPERIENCES, BOOKINGS AND PURCHASES

10. Orders, Bookings and Confirmations

10.1     The Project Xperience Platform enables Users to place Orders for Experiences, participate in Auctions and complete other transactions made available by Project Xperience from time to time.

10.2     The submission or creation of an Order, whether initiated by you or generated through the Project Xperience Platform, does not of itself constitute acceptance by Project Xperience or guarantee the availability of an Experience, Auction participation or any other product or service.

10.3     Where applicable, payment for an Order will be processed through a Payment Provider authorised by Project Xperience. Payment authorisation, successful payment processing or receipt of funds by Project Xperience does not, by itself, constitute confirmation of your Booking, Auction participation or any other transaction.

10.4     A Booking, Auction participation, winning bid, purchase or other transaction is confirmed only when Project Xperience issues the applicable Transaction Confirmation.

10.5     Until the applicable confirmation has been issued by Project Xperience, Project Xperience may, where reasonably necessary and to the extent permitted by applicable law:

(a) decline or reject an Order;

(b) cancel an Order;

(c) refuse participation in an Auction;

(d) refuse to issue a Booking Confirmation;

(e) require additional verification or information; or

(f) take any other reasonable action necessary to protect the security, integrity or proper operation of the Project Xperience Platform.

10.6     Without limiting Clause 10.5, Project Xperience may exercise its rights under this Clause where reasonably necessary as a result of:

(a) payment failure;

(b) expired payment sessions;

(c) suspected fraud or unauthorised activity;

(d) failure to satisfy eligibility or verification requirements;

(e) technical or system errors;

(f) pricing or listing errors;

(g) unavailability of an Experience;

(h) legal or regulatory requirements; or

(i) any other circumstance where proceeding with the transaction would be unlawful, impracticable or inconsistent with these Terms & Conditions.

10.7     Where Project Xperience declines or cancels an Order before issuing the applicable confirmation, Project Xperience will, where appropriate and subject to these Terms & Conditions and any applicable policy:

(a) notify you of the cancellation; and

(b) arrange any applicable refund in accordance with the relevant refund policy.

10.8     Nothing in this Clause limits any additional rights or obligations contained in the Experience Policy, Auction Terms & Conditions or any other applicable policy published by Project Xperience.


 

11. Experiences

11.1     Project Xperience offers curated Experiences through the Project Xperience Platform. Each Experience is designed as a single curated offering and may comprise one or more elements, including activities, events, programmes, services, access opportunities, hospitality, accommodation, transportation, dining, merchandise, memorabilia, tangible goods, products, digital content, exclusive privileges or other benefits made available by Project Xperience as part of the overall Experience.

11.2     Unless expressly stated otherwise, any tangible goods, merchandise, memorabilia, products or other physical items included in an Experience are supplied as components of the overall Experience and do not constitute separate standalone purchases or separate contracts.

11.3     Experiences may be offered for purchase at a fixed price, through an Auction or by any other sales method introduced by Project Xperience from time to time.

11.4     Project Xperience curates, organises, markets, offers and sells Experiences under the Project Xperience brand. While an Experience may be performed, facilitated or supported by one or more Collaborators engaged by Project Xperience, your contractual relationship in respect of your purchase, Booking and participation in an Experience is with Project Xperience unless expressly stated otherwise.

11.5     Descriptions, photographs, videos, itineraries, schedules, participant numbers, inclusions, exclusions and other information relating to an Experience are provided to assist Users in understanding the Experience. While Project Xperience takes reasonable care to ensure that such information is accurate at the time of publication, certain details may change before the Experience takes place.

11.6     Unless expressly stated otherwise, all Experiences are subject to:

(a) availability;

(b) eligibility requirements;

(c) participant capacity limits;

(d) applicable laws and regulatory requirements;

(e) these Terms & Conditions;

(f) the Experience Policy; and

(g) any additional conditions published by Project Xperience in relation to the relevant Experience.

11.7     Project Xperience may, where reasonably necessary:

(a) amend an Experience;

(b) modify the itinerary, programme or sequence of activities;

(c) substitute elements of an Experience with substantially comparable alternatives;

(d) replace a Collaborator where reasonably necessary;

(e) reschedule or postpone an Experience;

(f) withdraw an Experience from sale; or

(g) cancel an Experience,

in accordance with these Terms & Conditions, the Experience Policy and applicable law.

11.8     Where an Experience is materially amended, postponed or cancelled, the rights and obligations of the parties shall be determined in accordance with these Terms & Conditions, the Experience Policy and applicable law.


 

12. Experience Listings and Availability

12.1     Project Xperience may publish, modify, suspend or remove Experience listings on the Project Xperience Platform at any time. The publication of an Experience listing does not constitute a binding offer by Project Xperience to sell or make available that Experience.

12.2     All Experience listings are subject to availability unless expressly stated otherwise. Publication of an Experience does not guarantee that the Experience will remain available for purchase, Booking or Auction participation.

12.3     Project Xperience may limit the availability of an Experience, including by:

(a) participant numbers;

(b) available sessions;

(c) booking periods;

(d) Auction schedules;

(e) eligibility requirements; or

(f) any other criteria determined by Project Xperience.

12.4     Project Xperience may correct, update or modify any Experience listing, including descriptions, photographs, pricing, schedules, itineraries, inclusions, exclusions or other information, where reasonably necessary.

12.5     Where an error in pricing, availability or other material information is identified before a Transaction Confirmation is issued, Project Xperience may correct the error and, where appropriate:

(a) withdraw the Experience;

(b) cancel the affected Order;

(c) invite the User to proceed on the corrected terms; or

(d) provide an appropriate refund where payment has already been received.

12.6     Images, photographs, videos, illustrations and other visual materials published on the Project Xperience Platform are provided for illustrative purposes only. Actual Experiences, venues, Collaborators, merchandise, products or other components of an Experience may vary.

12.7     Nothing in an Experience listing prevents Project Xperience from making reasonable modifications to an Experience in accordance with these Terms & Conditions and the Experience Policy.


 

13. Bookings, Purchases, Transfers and Gift Nominations

13.1     A User may purchase an Experience or participate in an Auction only through the booking, purchasing or bidding processes made available on the Project Xperience Platform.

13.2     A Booking or purchase is subject to:

(a) availability;

(b) successful completion of any applicable payment;

(c) satisfaction of all applicable eligibility and verification requirements;

(d) these Terms & Conditions;

(e) the Experience Policy;

(f) where applicable, the Auction Terms & Conditions and Auction Rules; and

(g) any additional conditions published by Project Xperience in relation to the relevant Experience.

13.3     A Booking, purchase or Auction participation is confirmed only when Project Xperience issues the applicable Transaction Confirmation in accordance with these Terms & Conditions. Until that confirmation is issued, no contractual right to participate in an Experience has been created.

13.4     A confirmed Booking grants the Purchaser a personal contractual right to participate in the relevant Experience, subject to these Terms & Conditions, the Experience Policy and any additional conditions applicable to that Experience. Unless expressly stated otherwise, a Booking does not confer ownership of, or any proprietary interest in, the Experience or any unrestricted right capable of being freely traded, transferred or assigned.

13.5     Unless expressly permitted under these Terms & Conditions or approved in writing by Project Xperience, a Booking, Transaction Confirmation, Auction participation right, winning bidder status or any other contractual entitlement relating to an Experience is personal to the Purchaser and must not be:

(a) sold;

(b) resold;

(c) assigned;

(d) transferred;

(e) advertised for sale;

(f) pledged;

(g) exchanged for value; or

(h) otherwise dealt with,

whether for consideration or otherwise.

13.6     Any purported transfer or dealing in breach of Clause 13.5 shall have no effect unless subsequently approved by Project Xperience in writing. Where such a breach occurs, Project Xperience may, where reasonably necessary and to the extent permitted by law:

(a) cancel the relevant Booking;

(b) refuse admission to the Experience;

(c) suspend or terminate the relevant Account;

(d) refuse to issue a Transaction Confirmation; or

(e) take any other reasonable action necessary to protect the integrity of the Project Xperience Platform or the relevant Experience.

13.7     A Purchaser may request that one or more individuals participate in an Experience as a genuine gift by submitting a Gift Nomination to Project Xperience before the Experience takes place.

13.8     Every Gift Nomination is subject to Project Xperience’s prior approval. Approval may be granted subject to such reasonable conditions as Project Xperience considers appropriate, including identity verification, eligibility requirements, health and safety requirements, security screening, Collaborator requirements and administrative procedures.

13.9     Project Xperience may decline a Gift Nomination where it reasonably considers that:

(a) the request is intended to circumvent these Terms & Conditions;

(b) the request constitutes or facilitates an unauthorised resale or transfer;

(c) the proposed Participant does not satisfy the applicable eligibility or participation requirements;

(d) approval would adversely affect the administration, integrity, security or commercial objectives of the relevant Experience; or

(e) approval would otherwise be inappropriate having regard to the nature of the Experience.

13.10   Approval of a Gift Nomination does not transfer the contractual relationship between the Purchaser and Project Xperience unless Project Xperience expressly agrees otherwise in writing.

13.11   Where an Experience permits additional participants or guests, the Purchaser is responsible for ensuring that those participants comply with all applicable eligibility requirements, Experience conditions and instructions communicated by Project Xperience.

13.12   Nothing in this Clause limits Project Xperience’s rights under these Terms & Conditions, the Experience Policy or any applicable law.


 

14. Prices and Payments

14.1     All prices displayed on the Project Xperience Platform are stated in Singapore Dollars (SGD) unless expressly indicated otherwise.

14.2     Unless expressly stated otherwise, prices displayed on the Project Xperience Platform do not include Goods and Services Tax (GST) or any similar tax that Project Xperience is not legally required to charge at the time of the transaction. If Project Xperience becomes legally required to collect and remit GST or any other applicable tax in the future, Project Xperience may charge such tax in accordance with applicable law. Any applicable tax will be clearly disclosed to you before you complete the relevant transaction.

14.3     Payments must be made using one of the payment methods made available through the Project Xperience Platform. Project Xperience may add, remove or change available payment methods from time to time without prior notice.

14.4     Payments are processed through one or more independent Payment Providers authorised by Project Xperience. By making a payment, you acknowledge that the relevant Payment Provider’s terms and conditions and privacy policy may also apply to the processing of your payment.

14.5     Project Xperience does not collect or store complete payment card details. Payment card information is processed directly by authorised Payment Providers in accordance with their own security standards, terms and privacy policies.

14.6     Where a Payment Provider offers you the option of paying in a currency other than Singapore Dollars (SGD), any currency conversion is performed by the Payment Provider or your financial institution and not by Project Xperience. Exchange rates, conversion charges and other fees determined by the Payment Provider, card issuer or financial institution are outside Project Xperience’s control and remain your responsibility.

14.7     You must ensure that:

(a) you are authorised to use the selected payment method;

(b) sufficient funds or credit are available;

(c) all payment information provided is accurate and complete; and

(d) payment is made in accordance with the applicable payment instructions and deadlines.

14.8     Where payment cannot be successfully completed for any reason, including payment authorisation failure, insufficient funds, expired payment sessions, technical issues or rejection by the Payment Provider, Project Xperience may cancel or decline the relevant transaction unless payment is successfully completed within any applicable payment period.

14.9     Where a payment deadline applies, including for Auction participation or winning bid payments, payment must be successfully completed before the applicable deadline. Failure to complete payment before the deadline may result in cancellation of the relevant transaction or any other consequences set out in these Terms & Conditions or the applicable Auction Terms & Conditions.

14.10   For security and operational reasons, payment links or payment sessions provided through the Project Xperience Platform may expire before the applicable payment deadline. Where this occurs, you may be required to initiate a new payment session in accordance with the instructions provided by Project Xperience.

14.11   Despite reasonable care, pricing or calculation errors may occasionally occur. Where Project Xperience identifies a genuine pricing error before issuing the applicable Transaction Confirmation, Project Xperience may:

(a) correct the pricing;

(b) cancel the affected transaction;

(c) invite you to proceed using the corrected price; or

(d) provide any applicable refund.

14.12   Project Xperience may delay, suspend, reject or cancel a transaction where reasonably necessary to investigate suspected fraud, unauthorised activity, payment irregularities or compliance with applicable law.

14.13   The payment records maintained by Project Xperience and its authorised Payment Providers shall, in the absence of manifest error, constitute prima facie evidence of the relevant transaction.


 

15. Promotional Offers, Credits and Gift Instruments

15.1     Project Xperience may, from time to time, introduce promotional codes, discount codes, vouchers, gift cards, credits, referral rewards, loyalty benefits or other promotional incentives (“Promotional Benefits”). Such Promotional Benefits will only apply where they are made available by Project Xperience.

15.2     Unless expressly stated otherwise, Promotional Benefits:

(a) have no cash value;

(b) are non-transferable;

(c) may not be sold, exchanged or redeemed for cash;

(d) may not be combined with other Promotional Benefits unless expressly permitted by Project Xperience; and

(e) are subject to any eligibility requirements, expiry dates, usage limits or other conditions specified by Project Xperience.

15.3     Project Xperience may refuse to honour, suspend or cancel any Promotional Benefit where it reasonably believes that it has been obtained, used or attempted to be used:

(a) fraudulently;

(b) in breach of these Terms & Conditions;

(c) contrary to the applicable promotional conditions; or

(d) in any manner that compromises the integrity of the Project Xperience Platform.

15.4     Unless expressly stated otherwise, Promotional Benefits cannot be applied retrospectively to transactions that have already been completed.

15.5     Additional terms and conditions may apply to a specific Promotional Benefit. In the event of any inconsistency, those additional terms will prevail to the extent of the inconsistency in relation to the relevant Promotional Benefit.


 

16. Refunds

16.1     Refund eligibility for an Experience, Auction participation, winning bid payment or any other transaction shall be determined in accordance with these Terms & Conditions, the applicable Experience Policy, Auction Terms & Conditions or any other policy published by Project Xperience, together with any rights that cannot lawfully be excluded or limited under applicable law.

16.2     Where Project Xperience approves a refund, the refund will generally be made to the original payment method used for the relevant transaction, unless:

(a) this is not reasonably practicable;

(b) the Payment Provider does not support refunds to the original payment method; or

(c) Project Xperience determines that an alternative refund method is reasonably necessary.

16.3     Refund processing times may vary depending on the relevant Payment Provider, financial institution or payment method. Project Xperience is not responsible for delays caused by third-party Payment Providers or financial institutions after a refund has been initiated.

16.4     Where a transaction was paid in a currency other than Singapore Dollars (SGD) through a Payment Provider, any currency conversion, exchange rate differences or fees applied by the Payment Provider or financial institution are outside Project Xperience’s control and remain your responsibility.

16.5     Where only part of an Experience or transaction is cancelled or refunded, Project Xperience may determine the appropriate refund amount in accordance with the applicable policy, taking into account the circumstances of the relevant transaction.

16.6     Nothing in this Clause affects any statutory rights or remedies available to you under applicable law.


 

17. Payment Receipts and Transaction Records

17.1     Project Xperience may issue Payment Receipts for successful payments made through or in connection with the Project Xperience Platform.

17.2     A Payment Receipt acknowledges receipt of funds but does not, by itself, alter the contractual status of the relevant transaction.

17.3     A Payment Receipt is separate from a Transaction Confirmation. A Transaction Confirmation confirms the status of the underlying Booking, Auction participation, purchase, winning bid payment or other transaction.

17.4     The electronic records maintained by Project Xperience and its authorised Payment Providers shall, in the absence of manifest error, constitute prima facie evidence of the relevant transaction.

17.5     You should review Payment Receipts and Transaction Confirmations promptly and notify Project Xperience as soon as reasonably practicable if you identify any apparent discrepancy.


 

PART D – AUCTIONS

18. Auctions

18.1     Project Xperience may offer certain Experiences through online Auctions conducted on the Project Xperience Platform. Participation in an Auction is voluntary and subject to these Terms & Conditions, the Auction Terms & Conditions, the Auction Rules and any additional conditions published by Project Xperience in relation to the relevant Auction. Project Xperience may introduce additional auction formats or methods from time to time by updating the Project Xperience Platform or the applicable Auction Terms & Conditions.

18.2     Only Users who satisfy the applicable eligibility, verification and participation requirements may participate in an Auction. Project Xperience may refuse or restrict participation where reasonably necessary to protect the integrity, security or proper operation of an Auction or the Project Xperience Platform.

18.3     By participating in an Auction, you agree to comply with:

(a) these Terms & Conditions;

(b) the Auction Terms & Conditions;

(c) the Auction Rules; and

(d) any additional Auction-specific requirements published by Project Xperience.

18.4     Unless expressly approved by Project Xperience in writing, Auction participation rights, bidder status, winning bidder status and any offer made to a second-highest bidder are personal to the relevant User and must not be transferred, assigned, sold or otherwise dealt with.

18.5     Where an Auction requires payment of a participation deposit or any other qualifying payment, the relevant payment must be successfully completed before the applicable deadline and in accordance with the Auction Terms & Conditions.

18.6     Winning bidders and, where applicable, second-highest bidders must complete payment within the applicable payment period specified by Project Xperience. Failure to do so may result in the consequences described in the applicable Auction Terms & Conditions.

18.7     The detailed procedures governing Auctions, including bidding procedures, bid increments, anti-sniping measures, reserve prices, payment defaults, Auction extensions and other operational matters, are set out in the Auction Terms & Conditions and Auction Rules.

18.8     Project Xperience may suspend, postpone, withdraw or cancel an Auction where reasonably necessary to protect Users, Collaborators, the integrity of the Auction or to comply with applicable law.


 

PART E – CONTENT, INTELLECTUAL PROPERTY AND PLATFORM SERVICES

19. Platform Content

19.1     The Project Xperience Platform contains a variety of content and materials made available by Project Xperience, its Collaborators and other authorised third parties, including Experience listings, photographs, videos, graphics, artwork, text, logos, trademarks, designs, software, user interface elements and other Content.

19.2     Content published on the Project Xperience Platform is provided for your personal, lawful and non-commercial use in connection with your use of the Project Xperience Platform. Except as expressly permitted by these Terms & Conditions or applicable law, you must not reproduce, copy, modify, distribute, publish, display, transmit, sell, license, exploit or otherwise use any Content without Project Xperience’s prior written consent.

19.3     You must not remove, obscure or alter any copyright notice, trade mark, watermark or other proprietary notice appearing on the Project Xperience Platform or any Content.

19.4     The publication of Content on the Project Xperience Platform does not grant you any ownership rights or licence except the limited right to access and use that Content in accordance with these Terms & Conditions.

19.5     Project Xperience may, where reasonably necessary, modify, remove, update or replace any Content published on the Project Xperience Platform without prior notice.


 

20. Intellectual Property

20.1     Unless otherwise stated, all intellectual property rights in the Project Xperience Platform and its Content, including all copyrights, trade marks, logos, trade names, business names, designs, graphics, software, source code, databases, text, photographs, videos, audio recordings, compilations and other proprietary materials, are owned by or licensed to Project Xperience.

20.2     Nothing in these Terms & Conditions transfers or assigns any intellectual property rights to you. Except for the limited right to access and use the Project Xperience Platform in accordance with these Terms & Conditions, all rights are reserved.

20.3     You must not:

(a) reproduce;

(b) modify;

(c) distribute;

(d) publish;

(e) create derivative works from;

(f) reverse engineer;

(g) decompile;

(h) commercially exploit; or

(i) otherwise use,

any part of the Project Xperience Platform or its Content except as expressly permitted by these Terms & Conditions or applicable law.

20.4     The names Project Xperience, Xperience, the Project Xperience logos and any associated branding are valuable business assets of Project Xperience. You must not use any of them in a manner likely to cause confusion, imply endorsement or association, or otherwise infringe Project Xperience’s intellectual property rights.

20.5     Nothing in these Terms & Conditions affects the intellectual property rights of Collaborators or other third parties whose Content appears on the Project Xperience Platform. Such Content remains the property of its respective owner.


 

21. User Content and Feedback

21.1     The Project Xperience Platform may permit you to submit, upload, transmit or otherwise provide reviews, ratings, comments, feedback, suggestions, enquiries, photographs, images or other content (“User Content”).

21.2     You remain responsible for all User Content submitted through your Account. You represent and warrant that:

(a) you own or have all necessary rights to submit the User Content;

(b) the User Content does not infringe the rights of any person;

(c) the User Content is accurate to the best of your knowledge; and

(d) the User Content complies with these Terms & Conditions and all applicable laws.

21.3     You must not submit User Content that:

(a) is false, misleading or deceptive;

(b) is defamatory, abusive, threatening or harassing;

(c) infringes intellectual property rights;

(d) contains malicious software;

(e) is unlawful;

(f) promotes illegal activity; or

(g) is otherwise inappropriate for publication on the Project Xperience Platform.

21.4     By submitting User Content, you grant Project Xperience a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, reproduce, publish, distribute, modify, adapt and display that User Content for the purpose of operating, improving, promoting or marketing the Project Xperience Platform and its Experiences.

21.5     Project Xperience may, where reasonably necessary, remove, refuse to publish or restrict access to User Content that Project Xperience reasonably believes breaches these Terms & Conditions, applicable law or the rights of another person.

21.6     Nothing in this Clause obliges Project Xperience to monitor, review or publish any User Content.


 

22. Third-Party Services

22.1     The Project Xperience Platform may integrate with or provide access to third-party products, services, software, websites or content (“Third-Party Services”).

22.2     Third-Party Services are provided by independent third parties and are not under Project Xperience’s control.

22.3     Your use of a Third-Party Service may be subject to that third party’s own terms and conditions and privacy policy.

22.4     Unless otherwise expressly stated, Project Xperience does not warrant, endorse or assume responsibility for any Third-Party Service.

22.5     Project Xperience is not responsible for interruptions, errors or failures caused solely by a Third-Party Service, except to the extent required by applicable law.

22.6     Project Xperience may add, replace or discontinue Third-Party Services where reasonably necessary for the operation or improvement of the Project Xperience Platform.


 

23. Availability of the Project Xperience Platform

23.1     Project Xperience seeks to make the Project Xperience Platform available on a continuous basis. However, the Project Xperience Platform may be unavailable, interrupted or subject to reduced functionality from time to time due to maintenance, upgrades, security measures, technical issues, failures of Third-Party Services, events beyond Project Xperience’s reasonable control or other operational reasons.

23.2     Project Xperience may, where reasonably necessary:

(a) perform scheduled or emergency maintenance;

(b) update, modify or improve the Project Xperience Platform;

(c) introduce, suspend, replace or discontinue features or functionality;

(d) implement security measures; or

(e) temporarily restrict access to all or part of the Project Xperience Platform.

23.3     Where reasonably practicable, Project Xperience will endeavour to provide advance notice of planned maintenance or significant service interruptions through the Project Xperience Platform or by other appropriate means.

23.4     Project Xperience does not guarantee that the Project Xperience Platform will operate without interruption, delay, defect or error at all times.

23.5     Temporary interruptions or changes to the Project Xperience Platform do not, by themselves, entitle a User to compensation, damages or a refund unless otherwise required by applicable law or expressly provided under these Terms & Conditions or another applicable Project Xperience policy.

23.6     Nothing in this Clause limits Project Xperience’s obligations in relation to any confirmed Booking, Transaction Confirmation or other contractual obligation expressly accepted by Project Xperience.


 

PART F – DISCLAIMERS, LIABILITY AND LEGAL PROTECTIONS

24. Disclaimers

24.1     While Project Xperience uses reasonable care in operating the Project Xperience Platform and preparing Experience listings, the Project Xperience Platform and its Content are provided on an “as available” and “as applicable” basis.

24.2     To the maximum extent permitted by applicable law, Project Xperience does not warrant that:

(a) the Project Xperience Platform will always be uninterrupted, secure or error-free;

(b) every Experience will always remain available;

(c) every Collaborator will remain available;

(d) information published on the Project Xperience Platform will always remain current; or

(e) the Project Xperience Platform will meet every User’s individual requirements.

24.3     Nothing in this Clause limits Project Xperience’s obligations in relation to any confirmed transaction or any rights that cannot lawfully be excluded or limited under applicable law.

24.4     Certain Experiences may involve activities that carry inherent risks. By participating in such Experiences, you acknowledge that those risks may exist notwithstanding the exercise of reasonable care by Project Xperience and its Collaborators. Additional provisions relating to participant responsibilities and assumption of risk are set out in the Experience Policy.


 

25. Standard of Care

25.1     In providing the Project Xperience Platform and performing its obligations under these Terms & Conditions, Project Xperience will exercise reasonable care and skill consistent with the nature of the relevant services, the applicable Experience and all applicable laws and regulations.

25.2     Nothing in these Terms & Conditions requires Project Xperience to guarantee the success, outcome or uninterrupted availability of any Experience or the Project Xperience Platform beyond the obligations expressly accepted by Project Xperience under these Terms & Conditions.


 

26. Limitation of Liability

26.1     Nothing in these Terms & Conditions excludes or limits any liability that cannot lawfully be excluded or limited under applicable law, including liability arising from:

(a) fraud or fraudulent misrepresentation by Project Xperience;

(b) death or personal injury caused by Project Xperience’s negligence, where such liability cannot lawfully be excluded or limited;

(c) wilful misconduct by Project Xperience; or

(d) any other liability that applicable law prohibits Project Xperience from excluding or limiting.

26.2     Subject to Clause 26.1, Project Xperience is responsible only for losses that are a reasonably foreseeable consequence of Project Xperience’s breach of these Terms & Conditions or its failure to exercise reasonable care and skill.

26.3     Project Xperience is not responsible for losses arising from circumstances outside its reasonable control, including:

(a) acts or omissions of third parties that Project Xperience could not reasonably prevent or mitigate;

(b) interruptions to telecommunications networks or internet services;

(c) failures of Payment Providers or financial institutions;

(d) delays caused by regulatory authorities;

(e) exchange-rate fluctuations or foreign currency conversion;

(f) events of Force Majeure; or

(g) any other circumstance beyond Project Xperience’s reasonable control.

26.4     To the maximum extent permitted by applicable law, Project Xperience is not liable for any indirect, incidental, consequential, special or exemplary loss or damage, including loss of profits, loss of business, loss of revenue, loss of opportunity, loss of goodwill, loss of anticipated savings or reputational damage.

26.5     Subject to Clause 26.1, Project Xperience’s aggregate liability arising out of or in connection with any claim relating to a particular Experience or transaction shall not exceed the total amount actually paid by the User to Project Xperience in respect of that Experience or transaction.

26.6     Project Xperience remains responsible for its contractual obligations to Users under these Terms & Conditions. However, Project Xperience is not liable for losses arising solely from the acts or omissions of a Collaborator that were outside Project Xperience’s reasonable control and could not reasonably have been prevented or mitigated by Project Xperience.


 

27. Indemnity

27.1     You agree to indemnify and hold harmless Project Xperience, its directors, officers, employees and agents against any losses, liabilities, damages, costs and reasonable expenses, including reasonable legal costs, arising directly from:

(a) your breach of these Terms & Conditions;

(b) your unlawful use of the Project Xperience Platform;

(c) your infringement of the rights of another person;

(d) fraudulent or dishonest conduct by you; or

(e) your misuse of the Project Xperience Platform.

27.2     You are not required to indemnify Project Xperience to the extent that the relevant loss was caused by Project Xperience’s own negligence, fraud, wilful misconduct or any other matter for which liability cannot lawfully be excluded.


 

PART G – ACCOUNT MANAGEMENT

28. Suspension and Termination

28.1     Project Xperience may suspend, restrict or terminate your Account where reasonably necessary if:

(a) you breach these Terms & Conditions;

(b) you provide false or misleading information;

(c) Project Xperience reasonably suspects fraud or unlawful activity;

(d) continued access would compromise the security, integrity or operation of the Project Xperience Platform;

(e) Project Xperience is required to do so by law; or

(f) you fail to comply with a reasonable request made by Project Xperience under these Terms & Conditions.

28.2     Where reasonably practicable, Project Xperience will notify you of the suspension or termination and the general reason for that action, unless doing so would:

(a) prejudice an investigation;

(b) compromise security;

(c) be prohibited by law; or

(d) otherwise be inappropriate in the circumstances.

28.3     You may stop using the Project Xperience Platform at any time. Where you wish to permanently close your Account, you may do so through the account deletion process made available by Project Xperience.


 

29. Effect of Suspension or Termination

29.1     Suspension or termination of an Account does not automatically cancel any rights or obligations that arose before the suspension or termination.

29.2     Without limiting Clause 29.1:

(a) confirmed Bookings;

(b) outstanding payment obligations;

(c) completed transactions;

(d) accrued rights;

(e) indemnities;

(f) intellectual property rights; and

(g) any provisions intended to survive termination,

remain effective in accordance with these Terms & Conditions.

29.3     Following termination of your Account:

(a) your right to access restricted features immediately ends;

(b) access to your Account will be permanently removed; and

(c) Project Xperience may retain certain information where reasonably necessary to comply with legal obligations, resolve disputes, prevent fraud, enforce these Terms & Conditions, or maintain transaction, accounting or other records required by applicable law.


 

PART H – GENERAL

30. Changes to the Project Xperience Platform

30.1     Project Xperience continually develops and improves the Project Xperience Platform and may, where reasonably necessary:

(a) introduce new features or functionality;

(b) modify existing features;

(c) improve security;

(d) update the design or user interface;

(e) add or remove Third-Party Services; or

(f) discontinue features or services.

30.2     Where reasonably practicable, Project Xperience will endeavour to provide advance notice of significant changes that materially affect Users.

30.3     Nothing in this Clause permits Project Xperience to alter or avoid any contractual obligation already accepted by Project Xperience in respect of a confirmed transaction unless otherwise permitted under these Terms & Conditions, the applicable policy or by law.


 

31. Changes to these Terms & Conditions

31.1     Project Xperience may amend these Terms & Conditions from time to time where reasonably necessary, including to:

(a) comply with changes in applicable law or regulatory requirements;

(b) reflect changes to the Project Xperience Platform or the services offered;

(c) improve security or prevent fraud;

(d) clarify existing provisions; or

(e) address operational or commercial developments.

31.2     Where a material change is made, Project Xperience will make the updated Terms & Conditions available on the Project Xperience Platform and, where appropriate, notify Users by email, through the Project Xperience Platform or by another reasonable means.

31.3     The updated Terms & Conditions take effect from the Effective Date stated in the revised document.

31.4     If you continue to use the Project Xperience Platform after the updated Terms & Conditions take effect, you will be deemed to have accepted the revised Terms & Conditions to the extent permitted by applicable law.


 

32. Electronic Communications

32.1     You agree that Project Xperience may provide notices, disclosures, confirmations, agreements, policies, receipts and other communications electronically.

32.2     Electronic communications may be provided by:

(a) email;

(b) the Project Xperience Platform;

(c) in-Platform notifications; or

(d) any other electronic communication method made available by Project Xperience.

32.3     Electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.


 

33. Force Majeure

33.1     Project Xperience is not responsible for delay or failure in performing its obligations where such delay or failure results from an event beyond Project Xperience’s reasonable control.

33.2     Such events may include:

(a) natural disasters;

(b) pandemics;

(c) epidemics;

(d) war;

(e) terrorism;

(f) civil unrest;

(g) government action;

(h) industrial disputes;

(i) failure of utilities;

(j) widespread telecommunications failures;

(k) cyber incidents;

(l) severe weather;

(m) acts or omissions of public authorities; or

(n) other events beyond Project Xperience’s reasonable control.

33.3     Where reasonably practicable, Project Xperience will take reasonable steps to minimise the effects of the event and resume performance as soon as reasonably possible.


 

34. Governing Law and Dispute Resolution

34.1     These Terms & Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Singapore.

34.2     If a dispute arises, the parties agree to first use reasonable efforts to resolve the matter through good-faith discussions.

34.3     If the dispute cannot be resolved through good-faith discussions, either party may propose that the dispute be referred to mediation administered by the Singapore Mediation Centre (SMC), or another mediation provider mutually agreed by the parties, before commencing court proceedings.

34.4     Nothing in this Clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where such relief is reasonably necessary.

34.5     Subject to applicable law, the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms & Conditions.


 

35. Miscellaneous

35.1     Entire Agreement. These Terms & Conditions, together with the Privacy Policy, Experience Policy, Auction Terms & Conditions, Auction Rules and any other applicable policy expressly incorporated by reference, constitute the entire agreement between you and Project Xperience regarding the matters they govern.

35.2     Severability. If any provision of these Terms & Conditions is held to be invalid, illegal or unenforceable, the remaining provisions continue in full force and effect.

35.3     No Waiver. A failure or delay by Project Xperience in exercising any right under these Terms & Conditions does not constitute a waiver of that right.

35.4     Assignment. You may not assign, transfer or otherwise deal with your rights or obligations under these Terms & Conditions without Project Xperience’s prior written consent. Project Xperience may assign or transfer its rights and obligations to another entity as part of a corporate reorganisation, merger, acquisition, sale of business or assets, or other legitimate business transaction, provided that such assignment does not materially reduce your rights under these Terms & Conditions.

35.5     Third-Party Rights. Except as expressly provided, a person who is not a party to these Terms & Conditions has no right to enforce any provision of these Terms & Conditions.

35.6     Survival. Any provision that by its nature is intended to survive termination or expiry of these Terms & Conditions shall continue in effect.

35.7     Language. These Terms & Conditions are prepared in the English language. If they are translated into another language, the English version prevails to the extent permitted by applicable law in the event of any inconsistency.
